Introduction
Welcome to RankingPT. These Terms and Conditions govern your use of our SEO services. By accessing and using our services, you agree to be bound by these terms. If you do not agree with any part of these terms, please do not use our services.
1. Service Description
RankingPT provides various SEO services, including but not limited to on-page SEO, off-page SEO, technical SEO, and content creation. The specifics of the services to be provided will be outlined in a separate agreement with each client.
2. Client Responsibilities
Clients agree to:
- Provide access to their website, including login credentials if necessary.
- Respond promptly to communications from RankingPT.
- Supply any materials needed for the implementation of SEO strategies.
- Comply with all applicable laws and regulations.
3. Payment Terms
- Fees for services will be detailed in the invoice provided to the client.
- Payment is due within 30 days of the invoice date.
- Late payments may incur a penalty of 1.5% per month on the outstanding balance.
- Disputes over invoices must be raised within 15 days of receipt.
4. Performance Guarantees
While RankingPT employs best practices to improve website rankings and traffic, we do not guarantee specific results. Clients acknowledge that SEO outcomes are influenced by factors beyond our control, including search engine algorithms, competition, and adherence to recommended changes.
5. Intellectual Property
- Content and materials created by RankingPT for the client remain the intellectual property of RankingPT until full payment is received.
- Upon full payment, ownership of the created content and materials is transferred to the client.
- Proprietary tools and methods used by RankingPT remain our exclusive property.
6. Confidentiality
Both parties agree to keep confidential information private. Confidential information includes all non-public information disclosed during the service period. This obligation continues beyond the termination of the agreement.
7. Term and Termination
- The initial term of the contract is specified in the separate agreement with the client.
- The contract will automatically renew for successive terms unless either party provides 30 days’ notice of termination prior to the end of the current term.
- Either party may terminate the agreement for cause if the other party breaches any material term and fails to cure the breach within 15 days of notice.
8. Liability Limitations
RankingPT is not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability is limited to the amount paid by the client for the services in the 12 months preceding the claim.
9. Indemnification
Clients agree to indemnify and hold RankingPT harmless from any claims, damages, losses, and expenses arising from their use of our services or breach of these terms.
10. Dispute Resolution
- Any disputes arising from these terms will be resolved through mediation, with both parties agreeing to a mediator. If mediation fails, disputes will be resolved through binding arbitration.
- The governing law for these terms is the law of Portugal, and any legal proceedings will be conducted in Portugal.
11. Amendments
RankingPT reserves the right to amend these terms and conditions at any time. Clients will be notified of any changes, and continued use of our services constitutes acceptance of the new terms.
12. Entire Agreement
These terms and conditions constitute the entire agreement between RankingPT and the client, superseding all prior agreements or understandings, whether written or oral.
13. Force Majeure
RankingPT is not liable for any failure to perform due to circumstances beyond our control, including natural disasters, acts of war, or other force majeure events.
